Terms of Service

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into this agreement. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Format Health Inc. provides documentation software for hospital code blue events.

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time without prior notice.

3. User Accounts

If you create an account, you agree to:

• Provide accurate and current information
• Maintain the confidentiality of your username and password
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or data
• Interfere with the operation or security of the Services
• Introduce viruses, malware, or other harmful code
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of any software unless permitted by applicable law
• Copy, reproduce, distribute, modify, or create derivative works from the Services without our written permission
• Use the Services in any manner that could damage or impair our systems or interfere with other users

5. Intellectual Property

All content, software, trademarks, logos, graphics, documentation, and other materials available through the Services are owned by or licensed to Format Health Inc. and are protected by applicable intellectual property laws.

These Terms do not transfer any ownership rights to you.

6. Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.

8. Confidentiality

Users agree not to disclose any confidential or proprietary information obtained through the Services unless authorized by Format Health Inc. or required by law.

9. Healthcare Disclaimer

The Services are intended to support healthcare operations and are not intended to replace the independent medical judgment of qualified healthcare professionals. Healthcare providers remain solely responsible for patient care, diagnosis, treatment decisions, and compliance with applicable laws and regulations.

10. HIPAA Compliance

Where applicable, Format Health will maintain appropriate administrative, technical, and physical safeguards designed to protect Protected Health Information (PHI) in accordance with applicable law and any executed Business Associate Agreement.

11. Payment Terms

If you purchase paid Services:

• Fees are due according to your subscription or agreement
• All payments are non-refundable unless otherwise stated
• We reserve the right to suspend Services for non-payment

12. Third-Party Services

The Services may contain links to or integrate with third-party websites or services. We are not responsible for the content, security, privacy practices, or availability of third-party services.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMAT HEALTH INC. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMAT HEALTH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FORMAT HEALTH INC. DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Format Health Inc., its officers, directors, employees, affiliates, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or the rights of another person

16. Suspension and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if continued access could pose a security, legal, or operational risk.

Upon termination, your right to use the Services immediately ends.

17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised Effective Date. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Washington.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable agreements between you and Format Health Inc., constitute the entire agreement regarding your use of the Services.
